Terms of Service

1. General Provisions

1.1. This Public Offer (the "Offer") sets forth the material terms and conditions for the provision of hosting services and related information technology services. It is addressed to an indefinite number of individuals and legal entities.

1.2. The service provider is LIMITED LIABILITY COMPANY "HOSTOFF CYBERSECURITY LAB", operating under the brand HOSTOFF.NET (hereinafter the "Provider", "Executor" or the "Company"), a legal entity incorporated under the laws of Ukraine (Company Registration Code: 43576344, registered on 23 March 2020), providing hosting services, server equipment rental and related information technology services.

1.3. The customer (hereinafter referred to as the "Client" or "User") is any individual or legal entity that accepts the terms of this Offer.

1.4. Acceptance of this Offer shall be deemed as the Client's completion of the actions described in Section 3 herein.

2. Subject of the Agreement

2.1. The Provider undertakes to provide the Customer with hosting services in accordance with the selected tariff plan, and the Customer undertakes to accept and pay for the services in accordance with the terms of this offer.

2.2. As part of the provision of services, the Provider may provide:

  • Server equipment rental (dedicated servers, virtual servers, cloud solutions)
  • Access to service management control panel
  • Technical support according to the selected tariff plan
  • Additional protection and monitoring services (if included in the tariff plan)
  • Data backup services (if included in the tariff plan)
  • Network connection according to technical specifications of the selected tariff
  • Other services specified in the corresponding tariff plan

2.3. The specific list of services, their technical characteristics and terms of provision are determined by the selected tariff plan and are indicated on the hostoff.net website and in the control panel.

2.4. All resources are provided in accordance with the Provider's technical capabilities and within the fair use policy.

2.1. Fair Usage Policy

Cloud Resources: Allocated resources (processor, memory, disk space) are provided within reasonable usage. When exceeding normal consumption levels for an extended period, the Provider may require optimization or switching to a more suitable tariff plan.

Network Traffic: Network traffic is provided according to the terms of the selected tariff plan. Excessive bandwidth consumption affecting other users may be limited.

Network Connection Speed: The network connection characteristics specified in tariff plans refer to the technical capabilities of the equipment and do not guarantee actual connection speed, which depends on many factors: routing, provider channel load, geographical location and other technical conditions.

Additional Services: Protection, monitoring and other additional services are provided according to the terms of the specific tariff plan and do not guarantee absolute protection against all types of threats.

3. Offer Acceptance

3.1. This offer is considered accepted by the Customer unconditionally from the moment of performing one of the following actions:

  • Registration of an account in the control panel panel.hostoff.net
  • Payment for services by any provided method
  • Actual start of using the provided services
  • Order confirmation through the control panel or other means

3.2. Acceptance of the offer creates an agreement on the terms contained in the offer.

3.3. The agreement is considered concluded from the moment the Provider receives confirmation of acceptance of the offer in the form provided for in clause 3.1.

4. Service Cost and Payment Procedure

4.1. Service Cost

4.1.1. The cost of services is determined in accordance with the tariffs posted on the official website hostoff.net and in the control panel.

4.1.2. The Provider provides a flexible pricing system:

  • Hourly payment (minimum unit - 1 hour)
  • Monthly payment
  • Other periods according to available tariff plans

4.1.3. All prices are indicated including VAT, if applicable.

4.2. Payment Procedure

4.2.1. Payment for services is made in euros (EUR) or other currency specified in the control panel.

4.2.2. Available payment methods:

  • Bank cards of international payment systems (Visa, MasterCard)
  • Cryptocurrencies (Bitcoin, Ethereum and others)
  • Electronic payment systems
  • Bank transfers for legal entities

4.2.3. With hourly billing, funds are automatically debited for actually used time and resources.

4.2.4. The Provider has the right to change tariffs with prior notification to the Customer 7 (seven) calendar days in advance.

4.2.5. In case of tariff changes, the Customer has the right to refuse services without penalties.

5. Rights and Obligations of the Parties

5.1. Rights and Obligations of the Provider

5.1.1. The Provider has the right to:

  • Demand timely payment of services from the Customer
  • Suspend service provision in case of contract violation
  • Terminate the contract unilaterally in case of substantial violation by the Customer
  • Conduct scheduled technical work with advance notice
  • Change service technical configuration to improve service quality
  • Limit or suspend services in case of usage policy violation

5.1.2. The Provider undertakes to:

  • Provide services according to the selected tariff plan
  • Strive to ensure stable service operation within technical capabilities
  • Provide technical support according to the terms of the selected tariff plan
  • Maintain confidentiality of Customer data in accordance with privacy policy
  • Activate services within reasonable time after payment confirmation
  • Inform about planned technical work when technically possible

5.2. Rights and Obligations of the Customer

5.2.1. The Customer has the right to:

  • Receive services in full according to the selected tariff plan
  • Receive technical support according to the terms of the tariff plan
  • Change tariff plan to increase or decrease service volume
  • Terminate the contract at any time in compliance with the terms of this offer
  • Receive information about the use of provided resources
  • Require compliance with data confidentiality

5.2.2. The Customer undertakes to:

  • Pay for services timely and in full
  • Comply with acceptable use conditions
  • Not violate applicable legislation when using services
  • Ensure security of account credentials for service access
  • Immediately notify about unauthorized access to services
  • Independently create backups of critical data

5.3. Acceptable Use Policy

5.3.1. When using services, the Customer is prohibited from:

  • Violating applicable legislation of any jurisdiction
  • Distributing, storing or transmitting malicious software
  • Conducting attacks on network resources or disrupting network infrastructure operation
  • Mass distribution of unwanted messages (spam)
  • Violating copyrights and intellectual property of third parties
  • Posting illegal content, including extremist materials
  • Attempting unauthorized access to information systems
  • Activities damaging the reputation of the Provider or violating rights of other users
  • Using services for cryptocurrency mining without prior agreement with the Provider
  • Creating excessive load on infrastructure exceeding reasonable usage limits
  • Posting and distributing materials violating rights of minors
  • Using services for organizing gambling without appropriate licenses

5.3.2. In case of violation of acceptable use conditions, the Provider has the right to immediately suspend or terminate service provision without compensation of paid funds and without prior notice.

6. Service Quality and Guarantees

6.1. The Provider strives to ensure stable service operation within technical capabilities and industry standards, however does not provide absolute availability guarantees due to technical features of network infrastructure.

6.2. Technical support is provided according to the terms of the selected tariff plan. Response time may vary depending on request complexity and support service workload.

6.3. Additional services (protection, monitoring, backup) are provided according to technical capabilities and terms of the specific tariff plan.

6.4. The Provider provides services in accordance with generally accepted industry standards and technical capabilities of the equipment used.

6.5. The Provider is not responsible for service quality degradation in cases of:

  • Conducting planned and emergency technical work
  • Failures of external internet providers and telecommunications operators
  • Impact of external threats, including cyber attacks
  • Force majeure circumstances
  • Exceeding usage limits established by fair use policy
  • Actions or inaction of third parties, including government agencies

7. Liability of the Parties

7.1. The Provider provides services in accordance with generally accepted industry standards. Services are provided as they are available at the time of provision ("as is").

7.2. The Provider's total liability under the contract is limited to the amount actually paid by the Customer for services during the last thirty days.

7.3. The Provider is not responsible for:

  • Any direct or indirect losses arising from use or inability to use services
  • Data loss occurring for any reason, including technical failures
  • Damage caused by actions or inaction of third parties
  • Temporary service unavailability for technical reasons or as a result of maintenance
  • Consequences of Customer's violation of fair use policy
  • Losses from Customer's use of services for commercial purposes
  • Moral damage and lost profits of any nature

7.4. The Customer bears full responsibility for:

  • All content posted using the provided services and any activity within the services
  • Compliance with applicable legislation when using services
  • Any damage caused to third parties as a result of using services
  • Creating backups of important data and their safety
  • Security of account credentials for service access
  • Timely payment for services according to the selected tariff plan

8. Contract Termination

8.1. The contract may be terminated on the following grounds:

  • By mutual agreement of the parties at any time
  • On the initiative of either party with 3 (three) days advance notice
  • Unilaterally by the Provider in case of substantial violation by the Customer
  • Unilaterally by the Provider for non-payment within 3 (three) calendar days
  • On the initiative of the Customer at any time without explanation

8.2. Upon contract termination:

  • Service provision ceases within 24 hours
  • Customer data is stored for 3 (three) days for possible recovery
  • Refund for unused period is made according to refund policy
  • Customer must copy their data before service termination

9. Force Majeure

The parties are released from liability upon occurrence of force majeure circumstances: natural disasters, technical failures of third parties, changes in legislation and other circumstances beyond the parties' control.

10. Applicable Law and Dispute Resolution

This offer is governed by the legislation of the Provider's place of registration. Disputes are resolved through negotiations, and if ineffective - in a competent court.
